In 2007, a Delaware investment adviser located in Palo Alto, CA,

started using the name Sand Hill Advisors, LLC. It has NOT registered that name with the California Secretary of State and has NOT registered that name as a fictitious business name with Santa Clara County. It attempted to register "Sand Hill Advisors" as a trademark/service mark with the United States Patent and Trademark Office (USPTO), but that application was flatly rejected by the USPTO in February 2009.
Sand Hill Advisors (Palo Alto) remains registered with the State of California as "Sand Hill Advisors, Inc.", although that entity was converted to Sand Hill Advisors, LLC (Delaware entity) in 2007. Sand Hill Advisors, Inc. continued to file Form 13-F with the Securities and Exchange Commission in 2008 and 2009 despite the fact that the filing entity is no longer registered under that name with the Delaware Secretary of State. What is going on here?
This Delaware LLC is currently suing us in Federal District Court for trademark infringement pursuant to our use of Sand Hill Advisors LLC as our company name - a name that we have used here in northern California at the same address for the past ten years.
